A1. About these terms

The Helius Therapeutics Limited websites at helius.co.nz, helius.com and hcp.helius.co.nz are operated by Helius Therapeutics Limited (Helius, we, us, our), NZBN 9429053658890, of (REGISTERED OFFICE) HAMILTON LOCKE (NZ) LIMITED, Level 35, Vero Centre, 48 Shortland Street, Auckland, 1010, New Zealand.

By using these websites you agree to these Terms of Use. If you do not agree, please do not use them.

These terms apply alongside our Privacy Policy, which explains how we handle personal information.

A2. Important health information

Please read this section before you rely on anything on this website.

This website does not give medical advice. The information here is general information about our company and our industry. It is not medical advice and it is not a substitute for advice from a qualified health professional. Using this website does not create any practitioner-patient relationship between you and us.

Our products are unapproved medicines. Medicinal cannabis products supplied by Helius are unapproved medicines in New Zealand. Where a product has been verified as meeting the minimum quality standard under the Misuse of Drugs (Medicinal Cannabis) Regulations 2019, that verification confirms the product meets a quality standard. It is not an assessment of the product’s safety or effectiveness.

Medicinal cannabis products are prescription medicines. With the exception of low-dose CBD products that meet the applicable classification requirements, medicinal cannabis products can only be prescribed or authorised for a particular patient by an authorised prescriber.

If you feel you may benefit from our products, please see your medical practitioner. We cannot advise you on treatment, tell you whether a product is right for you, or supply products to you directly.

Reporting a side effect. If you experience a side effect from a medicine, talk to your prescriber or pharmacist. Suspected adverse reactions can also be reported to the Centre for Adverse Reactions Monitoring at nzphvc.otago.ac.nz.

This website is for New Zealand audiences. Our products and the information on this website may not be available or lawful in other countries.

A3. Your rights are not affected
Nothing in these Terms of Use limits or excludes any right or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other law that cannot lawfully be limited or excluded. Everything else in these terms is subject to this clause.
A4. Using this website

You may use this website for lawful purposes only. You must not:

  • use the website in a way that breaches any law, or that infringes anyone’s rights

  • interfere with the website’s operation or security, or attempt to gain unauthorised access to any part of it or any connected system

  • introduce any virus, malware or other harmful code

  • use any automated system to scrape, harvest or extract content or data from the website, or use content from the website to train a machine learning or artificial intelligence model

  • frame the website, or link to it in a way that misrepresents your relationship with us or the source of the content

  • impersonate anyone, or misrepresent your identity, qualifications or authority

  • post or send us anything that is unlawful, defamatory, misleading or offensive

 

Because our products are unapproved medicines, we cannot host or publish testimonials, reviews, patient experiences or comments about our products. Please do not send them to us or post them on our channels. If you do, we may remove them. This applies to comments on our social media channels as well as to this website.

A5. Information on this website

We take reasonable care to make sure the information on this website is accurate and current when published, but we do not warrant that it is complete, current or accurate, and we may change it at any time without notice.

Our website may link to websites operated by other people. We provide those links for convenience. We do not control those websites, we are not responsible for their content, and a link does not mean we endorse them. Your use of a linked website is subject to that website’s own terms.

All content on this website - including text, graphics, photographs, video, logos, page layout, design and the underlying code - is owned by us or used under licence, and is protected by the Copyright Act 1994 and other laws. Moral rights in content created for us are asserted by the authors of that content.

You may view the website, and print or download a single copy of any page for your own personal or internal business reference, provided you do not remove any copyright or other proprietary notice.

Except as permitted by the Copyright Act 1994 or with our prior written consent, you may not copy, reproduce, modify, republish, distribute, sell or commercially exploit any content from this website.

A8. Availability of the website

We provide this website free of charge and on an “as available” basis. We do not guarantee that it will be available at all times, uninterrupted or error free. We may suspend, withdraw or change all or part of it at any time without notice. We do not warrant that this website is free of viruses, malware or other harmful code that may damage your computer or any other device.​

A9. Our liability

To the extent permitted by law, and subject to clause 3:

(a) we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, anticipated savings, goodwill, business opportunity, data or business interruption, arising out of or in connection with your use of this website or your inability to use it

(b) we are not liable for any loss or damage caused by content published on a website operated by someone else, including a website we have linked to

​

(c) we are not liable for any loss or damage caused by the website being unavailable, interrupted, delayed or affected by anything outside our reasonable control, including any virus or other harmful code that affects your device

(d) our total aggregate liability to you in connection with your use of this website, however arising, is limited to NZD $100

Nothing in this clause limits or excludes our liability for fraud or wilful misconduct.

A10. Changes to these terms

We may change these Terms of Use from time to time. If we make a material change we will post the updated terms on this page with a new effective date, and we will note the change on the website for a reasonable period. Registered portal users will be asked to review and accept material changes at their next login.

Changes apply from the effective date. If you do not agree with a change, please stop using the website.

A11. Privacy

Our Privacy Policy explains how we collect, use, store, share and protect personal information, and how you can access and correct information we hold about you. It forms part of these Terms of Use.

A12. Governing law

These Terms of Use are governed by New Zealand law. You and we submit to the non-exclusive jurisdiction of the New Zealand courts.

A13. Advertising restrictions on medicinal cannabis

We include this section so it is clear why our website says less about our products than you might expect.

Medicinal cannabis products in New Zealand are unapproved medicines. Under the Medicines Act 1981 it is unlawful to advertise the availability of an unapproved medicine, and the legal definition of advertising is very broad.

​

That means we cannot publish anything by which a product is identifiable, including product names, active ingredients, abbreviations, images, prices, indications, ordering information, educational material, references to scientific papers or textbooks, or testimonials of any kind, and we cannot send unsolicited product information to anyone.

​

We also do not link to material that would not comply with these restrictions. Under the July 2025 Medsafe and Medicinal Cannabis Agency guidance, links to non-compliant material are treated as part of our own advertising.

​

If you are a health practitioner authorised to prescribe or dispense medicines and you would like information about our products so you can consider prescribing them, please request this from us. You can register at hcp.helius.co.nz and make a request there, or contact us at enquiries@helius.co.nz or 0800 661 144.

A list of medicinal cannabis products verified as meeting the minimum quality standard is published by the Ministry of Health.

A14. General

Severability. If any part of these terms is found to be unenforceable, that part is severed and the rest continues to apply.

No waiver. If we do not enforce a right under these terms, that does not mean we give it up.

​

Entire terms. These Terms of Use and our Privacy Policy set out the terms on which we make this website available. Nothing in this clause limits any right or remedy you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

 

[LR-3b] Section 2 uses the abbreviation “CBD” in describing the low-dose exception. Confirm this is a permitted generic classification statement rather than product-identifying content under the July 2025 advertising guidance.

Part B - Health care professional portal terms

These terms apply if you register for or use the health care professional portal at hcp.helius.co.nz. They are in addition to Part A. If there is any inconsistency, Part B applies to your use of the portal.

B1. Who the portal is for

The portal is only for health practitioners who are registered under the Health Practitioners Competence Assurance Act 2003, hold a current practising certificate, and are authorised to prescribe or dispense medicines in New Zealand.

The portal is not for patients, caregivers or members of the public. If that is you, please talk to your prescriber or pharmacist

B2. What the portal is, and why access is restricted

Medicinal cannabis products supplied by Helius are unapproved medicines under the Medicines Act 1981. New Zealand law restricts the supply of information about unapproved medicines. Medsafe’s advertising guidance contemplates that product information may be supplied to a health practitioner authorised to prescribe or dispense in response to a request from that practitioner.

The portal is how you make that request and how we respond to it. By registering, you acknowledge that:

​

  • you are requesting information about our products for your own professional use

  • any product information we make available to you is provided in response to your request

  • we do not send unsolicited product information, and registering does not mean you will receive product information you have not asked for

B3. Registration and verification

When you register you confirm that:

​

  • the information you give us is true and correct

  • you are registered with the responsible authority you have named, hold a current practising certificate, and are authorised to prescribe or dispense medicines

  • you are registering for your own professional use and not on behalf of anyone else

 

We may verify your details against the relevant public register, and we may ask you for further information or evidence. We may decline or delay access until we are satisfied.

​

You must tell us as soon as reasonably practicable if your registration, practising certificate or prescribing or dispensing authority changes, lapses, is suspended or is subject to conditions.

​

We will ask you to confirm your details are still current at least once every 12 months.

B4. Your account

Your account is personal to you. You must:

​

  • keep your login details secure and not share them with anyone, including colleagues at your practice or pharmacy

  • not allow anyone else to use your account

  • tell us as soon as you become aware, at enquiries@helius.co.nz, if you think your account has been compromised

​

You are responsible for activity carried out through your account, other than activity resulting from our own failure.

B5. Using portal content

Portal content is provided to you for your own professional reference in your practice.

 

You may print or download a single copy for that purpose. You must not:

​

  • forward, republish, post or otherwise distribute portal content to anyone else

  • share screenshots or extracts of portal content on social media or any public channel

  • supply portal content to patients, caregivers or members of the public

  • use portal content in any advertising or promotional material

  • use portal content to train a machine learning or artificial intelligence model

 

Nothing in this clause prevents you from discussing a product with a patient where that is clinically necessary in the course of a consultation, or from providing a patient with information we have specifically prepared for patient use.

B6. Testimonials and comments

You must not post testimonials, patient experiences, product reviews or endorsements about our products through the portal or on any of our channels. We can be treated as advertising through content posted by others, including content we did not ask for.

B7. Suspending or ending your access

We may suspend or end your access to the portal if:

​

  • we reasonably believe, on reasonable grounds, that you have breached these terms

  • we are not able to verify your registration, practising certificate or prescribing or dispensing authority, or you tell us it has changed

  • we reasonably believe your account has been compromised

  • we are required to do so by law or by a regulator

  • we stop operating the portal

 

Except where we are prevented by law or the situation is urgent, we will tell you before we suspend or end your access, give you our reasons, and give you a reasonable opportunity to respond.

You can close your account at any time by emailing enquiries@helius.co.nz.

B8. Privacy

We collect and hold personal information about you when you register and when you use the portal, including your professional registration details and a record of the information you request and access. Our Privacy Policy explains how we handle it and how you can access and correct it.

B9. Liability under Part B

Clauses 3 and 9 of Part A apply to your use of the portal.
